Terms of Service

These Terms of Service ("Terms") govern access to and use of the Fertiligent AI website, platform, and related services (together, the "Services"). Please read them carefully.

Where a clinic, health system, or other organization has signed a separate written agreement with Fertiligent AI, that agreement governs its use of the Services, and these Terms apply only where they do not conflict with it.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

2. Description of the Services

Fertiligent AI provides software for fertility clinics and the people they care for, including AI-assisted workflow automation, documentation support, and patient-facing guidance.

The Services are administrative and informational tools. They support clinical teams; they do not replace them. Features may change, and we may add, modify, or discontinue parts of the Services.

3. No Medical Advice

The Services do not provide medical advice, diagnosis, or treatment, and no output of the Services is a substitute for the judgment of a qualified healthcare professional.

  • Always seek the advice of your physician or another qualified provider with any question about a medical condition or treatment.

  • Never disregard or delay professional medical advice because of something you read or received through the Services.

  • AI-generated content may be incomplete or incorrect and must be reviewed by a qualified person before it is relied on for any clinical purpose.

  • The Services are not an emergency service. If you believe you may have a medical emergency, call your local emergency number or go to the nearest emergency department.

4. Eligibility and Accounts

  • The Services are intended for people 18 years of age or older.

  • You are responsible for the accuracy of the information you provide when creating an account.

  • You are responsible for safeguarding your credentials and for activity that occurs under your account.

  • Notify us promptly if you believe your account has been accessed without authorization.

  • Clinic administrators are responsible for the accounts they create and for removing access when a user leaves.

5. Acceptable Use

You agree not to:

  • Use the Services in a way that violates any applicable law or regulation, including healthcare, privacy, and data protection law.

  • Upload or transmit personal or health information without the legal basis or consent required to do so.

  • Attempt to gain unauthorized access to the Services, other accounts, or any connected system.

  • Interfere with, disrupt, overload, or probe the Services or their supporting infrastructure.

  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except where that restriction is prohibited by law.

  • Use the Services to develop a competing product, or to train a machine learning model on data extracted from the Services.

  • Present output of the Services as independently verified clinical advice.

We may suspend or terminate access that we reasonably believe breaches these Terms or puts patient data at risk.

6. Your Data and Privacy

Our handling of personal and health information is described in our Privacy Policy. Where Fertiligent AI processes personal or health information on behalf of a clinic, that processing is governed by the written agreement between Fertiligent AI and the clinic, including any data protection or business associate terms that agreement contains.

7. Intellectual Property

The Services, including their software, design, text, graphics, and trademarks, are owned by Fertiligent AI or its licensors and are protected by intellectual property law. Subject to these Terms, you receive a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. No other rights are granted.

Content you or your organization submit to the Services remains yours. You grant us the rights necessary to host, process, and transmit that content in order to provide the Services.

8. Third-Party Services

The Services may link to or interoperate with third-party products. We do not control those products and are not responsible for them. Your use of a third-party product is governed by that provider's own terms.

9. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or that any output will be accurate or complete.

10. Limitation of Liability

To the fullest extent permitted by law, Fertiligent AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Services.

To the fullest extent permitted by law, the total aggregate liability of Fertiligent AI arising out of or relating to the Services will not exceed the total amounts paid by you to Fertiligent AI for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Fertiligent AI from claims arising out of your use of the Services in breach of these Terms or in violation of applicable law, to the extent permitted by law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if these Terms are breached, if required by law, or if continued access would create a security or safety risk. Sections that by their nature should survive termination will survive it.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to their jurisdiction and venue.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new Effective Date. Continued use of the Services after an update means you accept the revised Terms.
